Eva Helfenstein advises foundations, associations and federations as well as other nonprofit organizations in all matters of German nonprofit, association and foundation law at our Frankfurt office. The focus is on
- Advice on association and corporate law: Advising board members and managing directors of NPOs on issues relating to articles of association and liability, remuneration matters and the conduct and documentation of board and committee meetings and decisions
- Contract law:
- Drafting cooperation and sponsorship agreements
- Drafting of inter-company agreements to reflect intra-group services
- Drafting of funding and sponsorship agreements
- Advice on service and remuneration agreements, reviewing and drafting civil law contracts with clients (care home and WBVG contracts for services in accordance with SGB IX and SGB XI, care contracts for child daycare, contracts for outpatient/partial inpatient services in accordance with SGB IX, SGB VIII, SGB XI)
- Advising NPOs - in particular welfare organizations - in the field of elderly care, child, youth and family welfare as well as integration and social welfare in matters of contract and home supervision law
- Canon law: Advising diaconal and charitable nonprofit organizations on issues relating to church and regulatory law
- Funding law: Advising NPOs and commercial enterprises on funding law issues, e.g. dvice on the application process, denial of funding, review of funding decisions, advice on implementation (e.g. budget overruns, deviations from the financing plan, accounting), advice on the preparation of proof of use, verification of evidence and, if necessary, advice on defending against claims for repayment
- Possibilities and limits of political activity in pursuit of the charitable purpose
- Corporate governance and compliance: Risk and expediency analysis of existing supervisory and control structures, review and drafting of guidelines/instructions to avoid legal violations for nonprofit companies and groups
Eva Helfenstein studied law at the Johannes Gutenberg University in Mainz. Before joining WINHELLER, she worked for over ten years in the legal department of a large social welfare organization, most recently as head.
She is married and has a daughter. She enjoys spending her free time with family and friends.
